SECP COMPANY REGISTRATION

Frequently Asked Questions

Practical answers about company structures, name reservation, SECP eZfile applications, required documents, fees and compliance after incorporation.

Understanding company registration

1. What is company registration with SECP?

Company registration is the incorporation of a business as a legal company under Pakistan's Companies Act, 2017. An incorporated company has a legal identity separate from its members and can hold rights and obligations in its own name.

2. What types of companies can be registered in Pakistan?

SECP guidance describes companies limited by shares, companies limited by guarantee, and unlimited companies. Common share-based forms include a single member company (SMC), a private limited company, and a public limited company. A limited liability partnership (LLP) is a separate business form under the LLP Act, 2017.

3. What is the difference between an SMC and a private limited company?

An SMC is a private company formed by one member. A private limited company is formed by two or more members and has restrictions on share transfers and public invitations to subscribe. The right structure depends on ownership, funding plans, and governance needs.

4. Can one person register a company in Pakistan?

Yes. One person may form a single member company (SMC). A sole proprietorship is a different business structure and is not an SECP-incorporated company; its relevant tax and local registrations depend on the business.

5. How many people are needed to form a private limited company?

SECP's Companies Regulations, 2024 FAQ states that a private company is formed by two or more persons and its membership should not exceed 50. Public companies generally require at least three members.

6. Who can be the nominee of an SMC?

SECP's current FAQ says the nominee must be a relative of the single member, such as a spouse, parent, sibling, or child. Confirm the applicable requirements and nominee details when preparing the incorporation application.

7. Is a sole proprietorship registered with SECP?

A sole proprietorship is not incorporated as a company with SECP. The owner may need tax registration and other registrations that apply to the business activity or location. An SMC is an SECP company option for a single owner who wants a separate company structure.

Name reservation and application

8. How can I check whether my proposed company name is available?

Use SECP's company name search and review the name against the Companies Regulations, 2024. Availability in a search is an initial check; the Registrar makes the final decision on reservation.

9. What makes a company name acceptable or unacceptable?

The proposed name should be distinguishable and consistent with the company's principal line of business. Restricted or prohibited words, misleading terms, or names that conflict with legal criteria may be refused or require prior approval or supporting documents.

10. Can I submit more than one proposed company name?

Yes. SECP's FAQ says one name is mandatory and up to two additional names may be proposed in priority order in one application. The Registrar may approve one of the proposed names, subject to the rules.

11. How do I apply for company name reservation and incorporation?

Applications can be submitted online through SECP's eZfile portal. SECP provides a combined name reservation and incorporation process, as well as separate processes. Applicants complete the relevant form, provide the required information and documents, sign as directed, and pay the applicable fee.

12. How long is a company name reserved?

SECP's Companies Regulations, 2024 FAQ states that a reserved company name remains reserved for 60 days. There is no automatic extension; if it expires, a fresh application may be made subject to availability.

13. What happens if SECP refuses my proposed name?

You can review the reason, revise the name, and submit another proposal that meets the rules. The Companies Act provides an appeal route to the Commission within 30 days of refusal. Professional advice may help where the name includes restricted or regulated terms.

Documents, address, and fees

14. What documents and information are required to register a company?

For online applications, SECP's FAQ lists the name reservation and incorporation application and copies of promoters' CNICs or passports; the system generates the Memorandum and Articles of Association for the online process. Additional information or documents may be required based on the company type, business activity, or applicant profile.

15. Can a foreign national become a company member or director?

Foreign nationals may be included in company incorporation, subject to applicable requirements. SECP lists additional documents for foreign subscribers or directors, which can include an undertaking and biodata; passport attestation and other documents may also be required depending on the case.

16. Do I need a registered office address before incorporation?

SECP's FAQ allows a correspondence address to be provided if the company does not yet have its registered office address. The company must provide its registered office address within 30 days after incorporation.

17. What is the difference between a correspondence address and a registered office?

A correspondence address is used for communications while the company arranges its registered office. The registered office is the company's official address on record and, under SECP's FAQ, must be provided within 30 days after incorporation if it was not available at the time of formation.

18. How much does SECP company registration cost?

The fee depends on factors such as the application mode and nominal share capital. SECP provides an online incorporation fee calculator; its result may not include other applicable charges, such as a name availability fee. Check the calculator and current fee schedule before payment.

19. How long does company incorporation take?

Processing time depends on a complete application, payment, name approval, and any additional review or permissions. SECP lists urgent processing in four hours through its Fast Track Registration Service for eligible applications. Check the current service terms and fee; this timing may not apply to every case.

After incorporation and compliance

20. Does SECP incorporation automatically provide an NTN?

SECP states that incorporation information is integrated with FBR and forwarded for NTN registration. FBR issues the NTN when the information supplied is complete and accurate. The company may still need other tax registrations and ongoing tax filings depending on its activities.

21. What responsibilities begin after incorporation?

The company must maintain its statutory records and meet applicable SECP filing, accounting, tax, and business-specific obligations. Requirements vary by company type, size, activity, and changes in the company's officers, address, capital, or ownership.

22. Does every company need to file annual returns?

SECP's Companies Regulations, 2024 FAQ says companies are required to file the prescribed annual return, subject to exceptions in the Companies Act. Other filings, including financial statements or beneficial ownership information, may also apply. Confirm the company's category and deadlines for each filing year.

23. Can I change the company name or business activities after incorporation?

Yes, changes can be made through the prescribed SECP process. A name change generally requires name availability and company approvals; changes to the principal line of business must be reported under the applicable filing requirements. Some activities also need approval or a licence from the relevant regulator.

24. Can I track or correct my incorporation application?

Use the eZfile dashboard to monitor the filing status. If SECP identifies a discrepancy or defect, review the notice, correct the information or documents, and resubmit as instructed. Keep the application reference and payment evidence for follow-up.

General information: These answers are general information, not case-specific legal, tax, or regulatory advice. Incorporation rules, fee schedules, and filing requirements may change. Confirm current requirements with SECP and FBR before filing.

Service scope: TPMCL can assist clients with understanding the incorporation route, preparing application information and supporting documents, and coordinating the filing process. Final approval, registration fees, and regulatory decisions remain subject to SECP and other relevant authorities.
